Shareholder Agreements
Increasingly businesses are trading as limited companies, even when the operation is one of a sole trader. When there are two or more owners of a business that operates as a limited company it is essential that at the outset, whilst the parties are looking forward positively to the future, that they clarify their working relationship.
A shareholder’s agreement can be the way to make sure the parties understand how they are to operate within the company, the management structure and the decisions that are important and might even need a specified majority or unanimity. It is also important, whilst projecting a positive approach to the business, appropriate exit strategies are available with clear restrictions/options in relation to share transfers if one party were to retire, go bankrupt, die or other otherwise cease to be involved with the company. Where there are only two shareholders deadlock provisions should be included.
